NESTRO TERMS OF SERVICE Version 2026-10 · Effective October 2026 Please read these Terms carefully. By creating an account, signing in, or using Nestro, you agree to them. If you do not agree, please do not use Nestro. 1. WHO WE ARE AND WHAT NESTRO IS Nestro ("Nestro", "we", "us") operates a real estate marketplace and a set of professional tools for property in Quintana Roo, Mexico, available at nestro.mx. Nestro lets buyers, renters and investors find properties and connect with real estate agents, agencies and developers, and gives those professionals tools to publish listings, manage clients and communicate with them. Nestro is a technology platform. Unless a listing says otherwise, Nestro is not a real estate broker, agent, landlord, seller or developer, and is not a party to any sale, rental or other agreement between users. Nothing on Nestro is legal, tax, financial or investment advice. 2. WHO MAY USE NESTRO You must be at least 18 and able to enter into a binding contract. If you use Nestro for an agency or company, you confirm that you are authorised to bind it, and "you" includes that agency or company. There are different kinds of users: visitors and buyers (who browse and enquire), agents and agencies (who list properties and manage clients), developers (who publish developments), and Nestro administrators. Which features you can use depends on your role and, for professionals, on your plan. 3. YOUR ACCOUNT You must give accurate information and keep it up to date. You are responsible for your account and for everything done through it, so keep your sign-in details private and tell us at once if you think someone else is using your account. Agents and agencies are verified before they can publish. You agree to provide truthful identification and professional credentials and to tell us if they change or lapse. We may refuse, suspend or remove an account that fails verification or whose details turn out to be false. Agency executives control their agency's account: they decide who belongs to it, which roles members have, and how leads are distributed. Executives of an agency can see the conversations and leads handled through that agency's account. 4. LISTINGS AND CONTENT YOU PROVIDE You are responsible for everything you publish or send through Nestro: listings, photos, videos, 3D tours, descriptions, prices, messages, reviews and profile details ("Content"). For every listing you confirm that: you are entitled to advertise the property; the information is true, current and not misleading; the price and availability are accurate; the photos and media show the property and you have the right to use them; and the listing complies with the law (including consumer protection, advertising and real estate rules in Mexico). Keep listings up to date. Sold, rented or withdrawn properties must be marked accordingly. Nestro may ask you to confirm a listing's status and may archive listings that are no longer available. You keep the rights to your Content. You give Nestro a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, adapt (for example resize or crop) and distribute your Content on Nestro and in Nestro's marketing, search and sharing features (including publishing a listing to your connected social accounts when you choose to), for as long as you use Nestro and for a reasonable time afterwards to remove it from backups and caches. We may review, approve, reject, edit for format, or remove Content or accounts at any time, in particular where we believe they are inaccurate, unlawful, unsafe, or breach these Terms. 5. WHAT YOU MAY NOT DO You may not: post false, fraudulent or misleading listings or advertise properties you cannot lawfully offer; impersonate any person or business; harvest, scrape or copy Nestro data or Content at scale; send spam or unlawful marketing; harass or discriminate against anyone; upload malware or interfere with the service or its security; try to access accounts or data that are not yours; resell or sublicense access to Nestro without our written permission; or use Nestro for any unlawful purpose. 6. LEADS, CLIENT DATA AND PRIVACY When a buyer enquires about a property, or a person contacts you through a connected channel, Nestro creates a lead and passes it to the professional responsible. Agents, agencies and developers who receive personal data through Nestro use it as independent controllers for their own business, and must handle it lawfully and in line with Mexico's Federal Law on the Protection of Personal Data Held by Private Parties and with the privacy notice that applies to them. Each agency can publish its own privacy notice, and Nestro provides a default one. You must only contact clients where you have a lawful basis to do so, honour requests to stop being contacted, and not use leads for any other purpose or share them outside your agency except as the law allows. How Nestro itself processes personal data is explained in our Privacy Notice. By using Nestro you acknowledge it. 7. COMMUNICATION CHANNELS AND CONNECTED ACCOUNTS (FACEBOOK, INSTAGRAM, WHATSAPP) Eligible agencies and agents can connect their Facebook Page, Instagram professional account and WhatsApp Business number to Nestro. Nestro uses a technology provider, Zernio, to connect to Meta's services, publish posts, receive Meta lead-form leads and carry messages. When you connect an account, you authorise Nestro and its providers to act on that account for the purposes you choose: publishing the listings you share, receiving and answering messages, and receiving leads. You confirm that you are entitled to connect the account (for example, you administer the Page) and you remain responsible for it. Your use of Facebook, Instagram, Messenger and WhatsApp stays subject to Meta's own terms, policies and commerce and business rules, including those on messaging, templates and marketing. Meta decides what is allowed on its services and may change its rules, limits and prices at any time; Nestro is not responsible for those changes, for restrictions Meta places on your account, or for message-template fees Meta charges to your WhatsApp Business account. You are responsible for having a lawful basis, and any consent Meta or the law requires, before you message a person, and for the content of the messages you send. Messages sent through the Nestro inbox may be visible to executives of your agency. Messages and attached files are stored in Nestro so your team can follow the conversation. Connections can stop working if Meta revokes a permission, a token expires, or an account is changed. Nestro will show a "Needs attention" status and notify your executives, but cannot guarantee uninterrupted delivery. You can disconnect an account at any time. Captions and other text suggested by Nestro's AI tools are drafts only. You must check them for accuracy and legality before you publish. 8. NESTRO MEDIA AND OTHER PAID SERVICES Nestro may offer professional services such as photography, 3D tours and related media, booked through Nestro. The price, scope, scheduling, cancellation and delivery terms of a booking or package are those shown to you when you book or agreed with us in writing. Bookings can depend on access to the property and on availability. Where the agreed package is a retainer, the terms of that package apply for its duration. 9. PLANS, FEES AND TRIALS Some features are free; others depend on a plan, a package or a trial. Where a free period applies (for example, a first-month trial of certain features), the features and usage limits that apply are shown in your account. Usage limits can be soft or hard; we may ask you to move to a paid plan or restrict features once a limit or a trial ends. If we introduce or change fees, we will tell you in advance and the new fees apply from the next period. Unless the law says otherwise, fees already paid are not refundable. 10. THIRD-PARTY SERVICES Nestro relies on and links to services of others, such as email delivery, maps, payments, calendar, listing-synchronisation, and the Meta services described above. We do not control them and are not responsible for their content, availability or conduct. Your use of them may be subject to their terms. 11. INTELLECTUAL PROPERTY Nestro, its software, design, brand, logos and the compilation of the platform belong to us or our licensors. These Terms do not give you any right in them other than the right to use the service as provided. Facebook, Instagram, WhatsApp, Messenger and Meta are trademarks of Meta Platforms, Inc., used on Nestro only to identify those services. You may not use Nestro's name or marks without our written permission. 12. AVAILABILITY AND CHANGES TO THE SERVICE We work to keep Nestro available and accurate, but we do not promise uninterrupted or error-free service. We may add, change, suspend or discontinue features, and we carry out maintenance from time to time. 13. NO WARRANTY ON LISTINGS OR USERS Listings and profiles are created by users. Although we verify professionals and review listings, we do not guarantee that any listing, price, availability, description, user or document is accurate, lawful or suitable, and we do not guarantee that any enquiry will result in a transaction. You should carry out your own checks (title, permits, ownership, taxes, condition of the property) and seek independent legal and professional advice before you buy, sell, rent or invest. 14. LIMITATION OF LIABILITY To the maximum extent permitted by law, Nestro is provided "as is" and "as available", and we are not liable for indirect, incidental, special or consequential loss, lost profits, lost leads or lost data; for losses arising from a transaction between users; for the acts or omissions of other users or third parties; or for interruptions caused by events beyond our reasonable control. To the extent the law allows us to limit it, our total liability to you for any claim related to Nestro is limited to the amount you paid Nestro in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law, or any rights you have as a consumer under Mexican law. 15. INDEMNITY You agree to defend and compensate Nestro and its officers, employees and partners against claims, losses and costs (including reasonable legal fees) arising from your Content, your use of connected accounts and messaging, your breach of these Terms or of the law, or your dealings with clients or other users. 16. SUSPENSION AND TERMINATION You can stop using Nestro and close your account at any time. We may suspend or terminate your access, remove Content, or disconnect integrations, immediately and without notice where we believe you have breached these Terms or the law, put others at risk, or where required by law or by a provider such as Meta. Provisions that by their nature should continue (including Content licences needed to remove material, liability, indemnity and governing law) survive termination. 17. CHANGES TO THESE TERMS We may update these Terms. When the change is material we will tell you in Nestro and may ask you to accept the new version before you continue. The date and version at the top show when they last changed. If you do not accept the new Terms, you should stop using Nestro. 18. GOVERNING LAW AND DISPUTES These Terms are governed by the laws of Mexico. The parties submit to the competent courts of Cancún, Quintana Roo, Mexico, waiving any other jurisdiction that may apply to them because of their present or future domicile, without prejudice to any right you have as a consumer to go to the competent consumer-protection authority. 19.
